These terms and conditions ("Terms") govern the professional relationship between Nicolas Vanlerberghe (trading as nicolas.design, hereafter "Provider") and the entity hiring his services ("Client"). By engaging the Provider, the Client agrees to these Terms.
For fixed-price projects (e.g., Landing Pages, Full Site Builds), the scope of work is defined in the initial proposal or quote. Any work outside this defined scope will be charged additionally at the Provider’s standard hourly rate or as a separate fixed-price add-on.
For subscription clients, the Provider offers a recurring service where the Client can submit unlimited requests. Requests are processed sequentially (one by one for Standard plans, two by two for Pro plans). The Provider does not guarantee a specific amount of hours per day but guarantees a standard output quality and daily progress updates.
Invoices not paid within 30 days of the due date are subject to a late fee of 10% and statutory interest in accordance with Belgian law. All prices exclude VAT (21%) unless the Client is located outside Belgium and has a valid VAT number (Intra-Community or International reverse charge).
Upon full payment of all invoices, the Provider grants the Client full, exclusive ownership of the final deliverables (code, design files, and assets). Until full payment is received, the Provider retains all rights and the Client may not publish or use the work.
The Provider reserves the right to reuse generic code snippets, libraries, or structural frameworks developed during the project for other clients, provided they do not contain the Client’s confidential information, branding, or specific design assets.
Clients on a subscription plan may pause their subscription at any time. The billing cycle is based on a 31-day period. Unused days in the active cycle are "banked" and can be used anytime in the future.
Subscriptions can be cancelled anytime before the next renewal date. No refunds are issued for the current active month, but service continues until the end of the paid cycle.
The Provider is not liable for issues, downtime, or data loss caused by third-party platforms (e.g., Webflow, Framer, Hosting providers, or API changes).
The Provider's total liability for any claim arising out of this agreement shall never exceed the total amount paid by the Client to the Provider in the three (3) months preceding the claim.
These Terms are governed by Belgian law. Any disputes arising from this agreement shall be settled exclusively by the courts of Gent, division Kortrijk.
